MODERN DAY SPORTS LLC
FOUNDING WAITLIST TERMS
(Phase 1: Free and Non-Binding)

WAITLIST MEMBER NAME (PRINT): __________________________________ (the "Waitlist Member")

Modern Day Sports LLC, a North Carolina limited liability company (the "Operator"), is planning Modern Day Sports Institute ("MDSI"), a baseball and softball training facility planned for the Pittsboro / Chatham Park area of North Carolina (the "Facility"). The Operator keeps a free list of people who want to hear about MDSI and its founding membership offer (the "Founding Waitlist"). These Founding Waitlist Terms (these "Terms") explain what joining the Founding Waitlist does and does not mean. You must be 18 or older and agree to these Terms to join.

THE WAITLIST IS FREE AND NON-BINDING
1. NO PAYMENT. The Operator does not take, and will not ask for, any payment, deposit, fee, card number, card authorization, or other payment information or consideration to join or stay on the Founding Waitlist.
2. NO OBLIGATION TO BUY. Joining the Founding Waitlist does not obligate you to buy anything, now or later. You are free to never become a member.
3. NOT A PURCHASE; NO CONTRACT FOR SERVICES. Joining is not a purchase. No contract for training, membership, facility use, or any other services is formed by joining, and the Operator owes you no services because you joined.
4. LEAVE ANYTIME. You may leave the Founding Waitlist at any time, for any reason, using the "Leave Waitlist" link in any waitlist email, in your App account, or by emailing info@modern-day-sports.com.
5. REMOVAL ANYTIME. The Operator may remove anyone from the Founding Waitlist, or end the Founding Waitlist, at any time, with or without notice.

NO GUARANTEE OF OPENING
No site or opening date is final unless and until the Operator announces it, and the Operator does not guarantee that the Facility will open, or that it will open at any particular place or time. Build updates and target dates the Operator mentions are estimates only, not promises.

THE FOUNDING RATE OFFER
1. WHAT WILL BE OFFERED. If the Facility opens, the Operator will email each person then on the Founding Waitlist a notice that services are available (the "Opening Notice"). The Operator will offer, but has not sold and is not selling, a founding membership at $229 per month for unlimited coach-led drop-in training sessions (the "Founding Rate") to Waitlist Members who choose to sign up within 30 days after the Opening Notice is sent.
2. SEPARATE TERMS AT THAT TIME. Any membership will be sold only later, if you choose to buy it, under separate membership terms that you accept at that time and that comply with North Carolina law then in effect, including N.C.G.S. Chapter 66, Article 21 where it applies. Those separate terms, not these Terms, will govern price, billing, cancellation, and refunds.
3. OPTIONAL EARLIER INVITATION. The Operator may, but is not required to, invite Waitlist Members to an optional founding program before opening. Any such program would be offered only under its own written terms and only in compliance with North Carolina law, and joining the Founding Waitlist creates no obligation to take part.
4. NOTHING ELSE IS OFFERED. Being on the Founding Waitlist does not give you any other price, benefit, or right. The Founding Rate offer is personal to you and cannot be transferred.

VIP BUILD-UPDATE EMAILS (OPTIONAL)
1. EXPRESS CONSENT ONLY. The Operator will send VIP build-update emails (development news and behind-the-scenes looks at the build) only if you check the separate, optional VIP box. Joining the Founding Waitlist does not require it.
2. WAITLIST EMAILS. Whether or not you opt in to VIP updates, the Operator will send you emails about the Founding Waitlist itself, such as your confirmation, changes to these Terms, and the Opening Notice and Founding Rate offer.
3. UNSUBSCRIBE. Every VIP and promotional email will identify Modern Day Sports LLC as the sender and include a working unsubscribe link, and will not use misleading subject lines. The Operator will honor unsubscribe requests within 10 business days. Unsubscribing from VIP updates does not remove you from the Founding Waitlist; leaving the Founding Waitlist stops all waitlist emails.
4. NO TEXT MESSAGES. The Operator will not send text messages unless you separately agree.

PRIVACY
The Operator collects and uses waitlist information as described in the Founding Waitlist Privacy Notice. Athlete information is optional, limited to first name and age, and must be provided only by a parent or legal guardian.

GENERAL
1. CHANGES. The Operator may change these Terms by email notice or by posting updated Terms in the App. Because the Founding Waitlist is free and non-binding, you may leave at any time if you do not like a change.
2. APPLICABLE LAW. These Terms are governed by the laws of the State of North Carolina without regard to conflict of law principles.
3. ELECTRONIC ACCEPTANCE. You accept these Terms by checking the box and clicking the join button in the App.
